1. Agreement to Terms

By accessing sinchi.co.nz, requesting a visibility audit, or engaging Sinchi for Google Business Profile optimization or website services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, please do not use our services.

2. Services & Scope

Sinchi provides specialized local search engine optimization, Google Business Profile management, and website performance enhancements for businesses operating in New Zealand.

The exact scope of deliverables, reporting frequencies, and fees will be specified in your written service quote or proposal.

3. No Ranking Guarantees (Fair Trading Act 1986 Compliance)

In compliance with the Fair Trading Act 1986 and Google's official Webmaster Guidelines, Sinchi does not guarantee a #1 ranking or specific map placement on Google Maps or any other search platform.

Google search algorithms are proprietary and subject to continuous updates and external market competition. While we employ rigorous, best-practice optimization techniques to achieve maximum local visibility, final ranking determinations remain under the exclusive control of Google LLC.

4. Client Responsibilities & Asset Access

To perform optimization services effectively, the Client agrees to:

• Grant Sinchi appropriate 'Manager' access to the relevant Google Business Profile (you will never be asked for your personal Google password).
• Provide accurate business information (Name, Address, Phone, services, areas served).
• Ensure that all provided images, logos, and written content do not infringe upon any third-party intellectual property rights.

5. Month-to-Month Agreements & Cancellation

All monthly optimization retainer agreements operate on a month-to-month basis with no long-term lock-in contracts unless otherwise agreed in writing.

Either party may cancel monthly optimization services at any time by providing written email notice at least 5 business days prior to the start of the next billing cycle.

6. Fees & Invoicing

All prices quoted on the website or in formal proposals are in New Zealand Dollars (NZD). Invoices are issued electronically and are payable within the timeframe stated on the invoice.

7. Limitation of Liability

To the maximum extent permitted by New Zealand law, Sinchi shall not be liable for any indirect, incidental, or consequential damages (including loss of business profits or data) arising from search algorithm updates, competitor actions, or third-party platform policy modifications (including Google account actions).

8. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of New Zealand. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the New Zealand courts.
